Nordex Explosives Ltd. Announces Brokered Financing

KIRKLAND LAKE, ONTARIO–(Marketwire – Jan. 27, 2012) – 

LES EXPLOSIFS NORDEX LTEE/NORDEX EXPLOSIVES LTD. (the “Company”) (TSX VENTURE:NXX) is pleased to announce that it has retained All Group Financial Services Inc. (“All Group“) as agent to conduct a brokered “best efforts” private placement offering (the “Offering“) of up to 3,750,000 common shares of the Company (the “Common Shares“) at a price of $0.40 per share for aggregate gross proceeds of up to $1,500,000. The Company’s previously announced non-brokered private placement offering has been terminated.

The net proceeds of the Offering will be used to fund ongoing investment in the Company’s distribution system and to replenish working capital. The Common Shares issued in connection with the Offering will be subject to a four month hold period from the date of distribution under applicable securities laws and TSX Venture Exchange (“TSX-V“) rules. The Closing of the Offering is subject to receipt of all required regulatory approvals, including approval of the TSX-V.
