International Legal Counsel Position
Qualifications
- Educational Background
- Bachelor’s degree or above in Law or a related discipline (such as International Economic Law, Commercial Law, Investment Law, Taxation, Energy Law, etc.). Familiarity with legal and regulatory frameworks governing overseas investments and transactions. Candidates should possess a professional legal qualification, or be qualified to practice law in jurisdictions such as Singapore, the United States, the United Kingdom, Canada, or other relevant regions.
- Work Experience
- Priority given to candidates with Magic Circle background. A minimum of 3–5 years of legal experience, or experience in securities/legal affairs within a large publicly listed company. Familiarity with cross-border investment transactions in the mining sector, or relevant compliance experience, is preferred.
- Candidates should have a strong understanding of regulations related to import/export controls, supply chain compliance, international sanctions, and anti-corruption in industries such as mining and manufacturing.
- Professional Skills
- In-depth knowledge of investment laws, regulations, and regulatory frameworks across major global economies, or strong expertise in global compliance and regulatory regimes.
- Experience in establishing international compliance systems, conducting risk assessments, and delivering compliance training.
- Core Competencies
- Exceptional cross-functional collaboration and resource integration capabilities, with strong communication skills and the ability to perform effectively under pressure.
- Language Requirements
- Native or near-native proficiency in English is required. Proficiency in Spanish, French, Russian, or Serbian is considered an advantage.
Key Responsibilities
Compliance
- Establish and develop the Group’s global compliance management system, tailored to the characteristics of the mining and energy sectors and the company’s international operations. Design targeted compliance risk assessment models, define compliance priorities across regions and business lines, and ensure alignment with business needs.
- Lead and coordinate global compliance risk identification and assessment initiatives. Oversee the implementation of compliance systems across headquarters and overseas subsidiaries, and regularly evaluate and optimize system effectiveness to mitigate systemic compliance risks.
- Manage cross-border compliance incidents, including investigations, regulatory inquiries, and compliance disputes. Formulate response strategies, liaise with overseas regulators, and coordinate internal and external resources to minimize potential losses.
- Identify and evaluate high-quality global compliance service providers. Establish and maintain an external partner network and evaluation system. Develop ongoing communication mechanisms with overseas regulators, industry associations, and compliance organizations; monitor regulatory developments; and actively participate in industry exchanges to foster a favorable compliance environment.
- Organize and deliver compliance training and awareness programs to strengthen company-wide compliance culture and integrate compliance into business processes.
Investment and Mergers & Acquisitions
- Provide overall legal support for global investment activities, including overseas M&A, greenfield investments, equity investments, joint ventures, industrial chain investments, and cross-border fund investments. Design and implement legal transaction structures.
- Participate in legal due diligence for cross-border investment projects. Contribute to transaction structuring and feasibility analysis, and draft, review, and negotiate key legal documents such as investment agreements, shareholders’ agreements, and closing documents to ensure legality, compliance, and alignment with the Group’s commercial interests.
- Deliver specialized legal support for major cross-border investment projects in the mining and energy sectors, addressing industry-specific legal issues.
- Assist in building the Group’s cross-border investment legal management framework. Develop compliance policies, transaction guidelines, risk assessment standards, and template documentation to standardize legal processes and enhance team efficiency and responsiveness.
- Identify and evaluate high-quality global investment service providers. Establish and manage an external partner network and evaluation system, lead partnership negotiations, and oversee service quality.
