Gold Canyon Resources Inc. (TSX VENTURE:GCU) (“Gold Canyon” or “the Company”) is pleased to announce that it has entered into an agreement with a syndicate of underwriters led by CIBC and Fraser Mackenzie Limited (the “Underwriters”) pursuant to which the Underwriters have agreed to purchase a combination of common shares of Gold Canyon (“Common Shares”) at $1.30 per Common Share and flow-through shares of Gold Canyon (“FT Shares”) at a price of $1.47 per FT Share on a bought deal basis, for aggregate gross proceeds in the amount of approximately $13.0 million (the “Offering”) on the basis that the aggregate value of the FT Shares will not exceed $8.0 million. In addition, the underwriters will also have an over-allotment option exercisable at any time until 30 days following the closing of the offering to increase the size of this offering by up to an additional $2.0 million in either Common Share or FT shares.
The Offering is scheduled to close on or about July 3, 2012 and is subject to certain customary conditions including, but not limited to, the receipt of all necessary regulatory approvals including the approval of the TSX Venture Exchange and the securities regulatory authorities. The Common Shares and FT Shares will be offered by way of a short-form prospectus to be filed in such provinces of Canada (except Quebec), where the Common Shares and FT Shares are sold, pursuant to National Instrument 44-101 – Short Form Prospectus Distributions and in the United States on a private placement basis pursuant to an exemption from the registration requirements of the United States Securities Act of 1933, as amended.
The proceeds from the sale of the Common Shares will be used for further exploration and development of the Company’s Springpole Gold Project in Ontario and for general corporate purposes.
The proceeds from the sale of the FT Shares will be used to incur Canadian Exploration Expenses (within the meaning of the Income Tax Act (Canada)), which will qualify as “flow-through mining expenditures” for purposes of the Income Tax Act (Canada), and as eligible Ontario mining expenditures under the Taxation Act, 2007 (Ontario), related to the exploration of the Company’s Canadian exploration projects. The Corporation will renounce such Canadian Exploration Expenses with an effective date of no later than December 31, 2012 for federal tax purposes.
