VANCOUVER, BRITISH COLUMBIA–(Marketwire – Jan. 9, 2012) – Hathor Exploration Limited (HAT:TSX) (“Hathor”) confirms that approximately 119,456,310 Hathor common shares have been validly tendered to Rio Tinto plc (NYSE:RIO)(LSE:RIO)(ASX:RIO) as of 5:00 pm Eastern Standard Time (EST) on January 6, 2012, through an indirect wholly-owned Canadian subsidiary (“Rio Tinto”). The tendered common shares represent 93.76 per cent of the outstanding common shares of Hathor, on a fully diluted basis, other than the Hathor common shares already held by an affiliate of Rio Tinto.
Rio Tinto on December 22, 2011, extended its offer to acquire all the common shares of Hathor for C$4.70 in cash per common share until 5:00 pm EST on January 6, 2012 (“the Offer”). All Hathor common shares validly deposited and not withdrawn before the expiry of the Offer have been taken up and payment will be made for such shares within three business days of take-up.
Rio Tinto intends to acquire all outstanding Hathor common shares not tendered to the Offer through a compulsory acquisition under the Canada Business Corporations Act. Rio Tinto intends to apply to delist the Hathor common shares from the Toronto Stock Exchange as soon as practicable after the completion of the compulsory acquisition.
